By accessing karnak.ai or using any Karnak service, you confirm that you are at least 16 years old, have read and understood these Terms, and agree to be bound by them. If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Karnak provides AI-powered document intelligence software for commercial real estate professionals, including document extraction, natural language querying, portfolio management, and related tools (collectively, the "Services"). The Services are currently in early access and may be subject to change.
Submitting your email address on our website registers your interest in early access to Karnak. This does not constitute a contract for services or guarantee access. We reserve the right to grant or deny access at our sole discretion.

You retain ownership of all documents and data you upload to Karnak. By uploading content, you grant Karnak a limited licence to process that content solely to provide the Services to you. We will not use your content to train AI models or share it with third parties, except as required to deliver the Services or comply with legal obligations.
All content, software, and technology comprising the Karnak Services — including but not limited to our website, AI models, and interfaces — are owned by Karnak AI, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Karnak does not warrant that the Services will be uninterrupted, error-free, or that any output generated by the Services constitutes legal, financial, or professional advice. You are solely responsible for verifying the accuracy of any information extracted or generated by our AI systems before relying on it.
To the fullest extent permitted by law, Karnak AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the greater of $100 USD or the amount you paid to Karnak in the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless Karnak AI, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms.
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services will immediately cease.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
